Welcome to the special meeting of stockholders for AtaiBeckley Inc. Our host for today's call is Dr. Srini Rao, CEO. I will now turn the call over to your host. Dr. Rao, you may begin.

Thank you very much. On behalf of the company, I'd like to welcome you to AtaiBeckley's special meeting of shareholders. As mentioned, I'm Dr. Srini Rao, CEO, and I'll be chairing today in accordance with Delaware law. Ryan Barrett, our Chief Legal and Business Officer, will act as secretary. Also present are members of our board, executive leadership team, employees, along with representatives from our advisors, including Latham & Watkins. I'll now hand it over to Ryan to get us started.

Thank you, Srini, and thanks to everyone joining us. I will now call the meeting to order. A few housekeeping items first. You'll find links to the agenda and rules for the special meeting on the virtual website. To keep things running smoothly, we ask that everyone abide by these rules. In particular, please note, questions can be submitted through the website portal. Audio or video recording is strictly prohibited. You can also access the notice of special meeting and the affidavit of mailing on the portal. This affidavit provides proof that the notice and proxy materials were mailed on or about August 10th, 2026, to stockholders of record as of August 7th, 2026. We'll file the affidavit with today's meetings with minutes. The Carideo Group, Inc., in coordination with Broadridge Financial Solutions, has been engaged as the Inspector of Elections.

With us today is Beth VanDerbeck from The Carideo Group, who is serving in that role. Ms. VanDerbeck has signed the oath of office to execute her duties, which will be filed with the meeting records. Ms. VanDerbeck will count the votes and certify the results. All proxies have been delivered to her. A quorum is present, so we are properly convened and ready to proceed. I would like to briefly explain the voting process to be used today. The voting is by proxy and online. Stockholders of record as of August 7th, 2026, were provided proxy cards to submit their vote. If you've already voted by proxy, telephone or internet, you don't need to vote online today unless you want to change your vote.

If you have not voted yet or if you'd like to change your previous vote, you can do so online during the meeting. Simply attending today does not revoke a prior vote, but submitting a new vote online will automatically replace any earlier proxy or vote. As set forth in the notice, we have two proposals on today's agenda. The board recommends a vote for each proposal. Proposal 1 is to approve the agreement and plan of merger between Eli Lilly and Company, Albali Acquisition Corporation, and AtaiBeckley. Approval requires a majority of the outstanding shares entitled to vote. Proposal 2 is to approve adjourning the special meeting to a later date if necessary to solicit additional proxies if there are insufficient votes to approve the merger agreement today. That concludes all proposals for today's meeting. The time is now 11:03 A.M., and I declare the polls open to vote.

If you haven't voted yet and wish to, please click the voting button on the portal and follow the instructions. You do not need to vote electronically if you already sent in your signed proxy or voted by telephone or internet. While the remaining votes are being cast and counted, I'll answer any appropriate questions submitted through the portal. If there are no questions, we'll take a brief moment of silence before moving forward. The time is now 11:04 A.M., and the polls are closed. The Inspector of Elections will now count the votes. The final report of the Inspector of Elections will be kept with AtaiBeckley's records. Based on the preliminary report, the proposal to adopt the merger agreement has passed, and the proposal to adjourn the meeting, if necessary, has passed.

Because the merger agreement was approved, the proposal to adjourn is unnecessary and will not be acted upon. The Inspector of Elections will finalize the vote counts, and the tally will be published within four business days on a Form 8-K filed with the SEC. This concludes our formal business. With no further business, this special meeting is officially adjourned.
