Good morning, everyone. Afternoon. I promise I will be quick. Usually they put me right before lunch every time I do these type of things. Before we begin, I will just tell you guys just a little bit about my background before we get into the company. If you look at my career, it has probably been broken down into two separate career paths. The first half of my career I spent as a banker raising capital for M&A for very large and small institutions. The second half of my career I spent as an operator building and scaling finance teams, raising capital on both the debt and equity side and ultimately taking companies through exits. Most recently joined TEN Holdings 18 months ago. But if you look at TEN Holdings, as the name says itself, we are a holdings company.
Under the holdings company, we have just one operating company underneath. If you look at that operating company, that company focuses on digital experiences. On a subscription basis and on a managed service solution. For example, what does that mean? When the CEO of PricewaterhouseCoopers does his quarterly town halls, he uses our people and our technology to create and most importantly stream that broadcast to 50,000 employees at one time globally. Here I just want to show and highlight just our management team and some of the logos where we have been able to recruit the top talent that works at our company. A little bit of our history. The company itself was founded in 2021 in Langhorne, Pennsylvania, and was acquired in 2021 by a company called V-cube.
However, in February of 2025, we decided to go public via an S-1 filing and raise $10 million. If you think about the proceeds, half of the proceeds were used to pay down the debt, and the rest of the proceeds were used for working capital. Most recently, we raised through a secondary offering, $7.5 million. What we said we were going to do with these funds is use these funds to invest in our business. We are investing the product and investing the people and potentially do small M&A acquisitions. What have we done over the last 12 months? The first thing is we eliminated $2.25 million of expenses from the bottom line. This will ultimately push us into profitability next year. The second thing is we have raised over $14 million through multiple investment vehicles, either an ELOC, a PIPE, and a secondary offering.
Lastly, which I think is the most important thing, we launched our subscription platform. This is what has pushed us to become a technology company from a managed service solution. This is part of our long-term strategy, and it is what is going to allow us to actually be more competitive in the marketplace. When you look at the next three to six months, what are we thinking about as a company? The first thing is we just launched the platform. Now we need to really execute on our strategy and grow our SaaS business. We have done really good at this so far. We have closed really big contracts from a SaaS point of view, and we just need to transition our existing customer base to be more repetitive going forward.
The second thing is continue to develop AI features into the new platform so we can remain more competitive in the marketplace. The third thing is we need to focus on our acquisition strategy. I did say that we are going to be growing twofold. The first way of growing is going to be organically through the platform. The second thing is growing inorganically through acquisition. As part of that, we recently filed our shelf registration. The goal is to use this for large M&A acquisition to be able to focus on that part of the business. When you look at the platform, the goal is to make sure that customers use the platform every single day. We just don't want them to use the platform when they have events.
We have created a content studio and an analytics portion of the platform that connects directly to the CRM of those customers, so they constantly have to come into the platform on a daily basis to check what is going on within their business. If you look at our business and our company, we have worked with customers for over 10 years. It's a perfect way and a perfect strategy for us to really shift the business to a subscription-based model because when you think about the KPIs and retention, they're going to look extremely healthy for the business going forward. Why do customers keep coming to us? The number one thing is we have been doing this for over 15 years. Over that time, we have been able to identify what works and what doesn't work in the market.
We have been able to put the best in practice solutions for our customers and push that along to them. When we look at our acquisition strategy, we're going to be looking at a couple of things. Number one thing, it needs to be an accretive acquisition. As I mentioned before, we are expected to be profitable next year. Any acquisition that we do needs to add to the bottom line. The second thing, it needs to be a product that our team can continue to grow and scale at a rapid pace, and it needs to be IP that is additive to our current product solution. The main reason why most of you are here is what makes TEN Holdings a compelling investment opportunity? Number one is the transition of the business from a managed service provider into a SaaS solution.
Ultimately, what this is going to do is going to change the multiples of the company going forward. Once we continue to show our execution of the business into a SaaS and a technology company, that will trickle along at the stock price. The second thing is our growth from an acquisition strategy perspective. When you look at our company today, we might be a $3 million-$4 million revenue company. However, from an acquisition standpoint, that can drastically change very rapidly as we plug in one or two or three acquisitions over the next three to six months. Lastly, it's our strong market interest.
Although our stock has received some volatility over the last couple of weeks, ever since we did announce our strategy to become a technology company after June, we have seen a lot of interest in our stock from a lot of investors, and we have seen very strong momentum over the last quarter, and we expect that to continue into the future. Here, I just wanted to highlight some of the deals that have happened in our space over the last 12 months. You have Cvent, ON24, and Goldcast, and they have also received very high multiples in regards to acquisitions. When you look at TEN Holdings, if that is a path that is in our future long term, we could potentially see those type of multiples as well. With that, I will close it out and open it up for questions.
Can you elaborate just a little bit more on exactly what you're doing right now?
The question is, can I elaborate on what exactly it is that we do right now? What we do right now is a product. We primarily focus on webinars and events from a platform perspective. If you're hosting an event that has 100 people to 1,000 people, you can use our platform on your own to be able to host that webinar solution, and you're fully able to customize that event depending on how you want your viewers to see it.
Who do you consider competitors?
But that's only one part, and let me just backtrack. That's only one part of what we do from a platform perspective. We also focus on CPE and learning. We work with a lot of public accounting firms, law firms, because they use these type of technologies for their employees. If you think about accountants, they have to take continuous learning credits and then send that to the accounting board. Our platform is able to generate the test, generate the scores, and do pass or fail, and send that directly to the accounting board.
You guys are getting beat up because there's a big reduction in revenue. What events are going to change that reduction in your current revenue?
The primary reason why we're getting beat up, I want to say it's due to the revenue. Our largest shareholder sold out of their shares because they came out of lockup two weeks ago. So in putting all those shares into the market in one day, put a lot of pressure on the stock. But if you eliminate that out of the equation, our share price would've maintained where it was. The goal right now is to continue to operate and build something strong and Yep.
