Good day, ladies and gentlemen. Welcome to the Riverview Bancorp, Inc. Annual Meeting. It is now my pleasure to turn the floor over to Jerry Nease, chairman of the board. Please go ahead. Thank you, Krista.

Good morning and welcome to the 29th Annual Meeting of Shareholders of Riverview Bancorp. I'm Jerry Nease, chair of Riverview Bank and Bancorp, and I'll serve as chair of today's meeting. I appreciate you joining us virtually this morning. With that, I'll now call the meeting to order. Shareholders may submit questions at any time during today's meeting through the Ask a Question section of the online platform. We'll review the questions submitted and address them at the end of the meeting. I'd like to begin by introducing Angela McLeod-Wysaske, vice president, Corporate Secretary, who will serve as secretary of this meeting. Our board of directors and executive officers are also joining us virtually today, and our directors are Bess Wills, vice president, General Manager, and co-owner of Gresham Ford. Brad Carlson, CEO of Evergreen Memorial Gardens.

Stacey Graham, retired president of the Humane Society for Southwest Washington and former banking executive. Larry Hoff, retired state legislator and former financial institution CEO. Val Moreno, Chief Information Officer and Chief Information Security Officer at Reed College in Portland, Oregon. Kourosh Zamani, co-founder of Laurel, a venture-backed technology company. Nicole Sherman, CEO and president and director of Riverview Bancorp and Bank. We are also pleased to have the following representatives joining us virtually today. Our independent audit firm, Aprio, LLP. Riverview's investor relations firm, The IR Group, and our legal counsel, Ballard Spahr. The secretary has received a list of shareholders entitled to vote at today's meeting.

The list reflects holders of the company's common stock as of the close of business day on July 1, 2026, the record date for voting and has been provided to the inspectors of election along with the proxies received. The secretary has informed me that the company's records show 20,160,613 shares of common stock were outstanding on the record date and entitled to notice thereof and to vote at this meeting. We also have received an affidavit confirming that the notice of meeting and proxy materials for the annual meeting were mailed on or about July 17, 2026, to each shareholder of record as of the close of business day on July 1, 2026. A copy of the affidavit, notice, and form of proxy will be attached to the minutes of this meeting.

The board of directors appointed Ben Lee, Senior Vice President and Controller, Crystal Burlingham, Senior Vice President and Director of Risk Management, to serve as inspectors of election for this meeting and any adjournment. The inspectors will count and examine the votes and their certificate and report will be attached to the minutes of this meeting. The secretary has informed me that substantially more than the majority of the 20,160,613 shares of the common stock entitled to vote are present in person or by proxy. The inspectors are completing the exact count and will provide their formal report during the meeting. Based on that information, I declare that a quorum is present, subject to confirmation by the inspectors in their report. We will waive the reading of the minutes from last year's annual meeting.

A copy of those minutes is available if any shareholder would like to review them. There are three items of business before shareholders today as described in the notice of meeting. The first is the election of directors. Four individuals have been nominated. Bess Wills, Larry Hoff, each for a three-year term. Jon Girod, Kourosh Zamani, each for a one-year term. Because nominations may not be made at the meeting, I now declare nominations closed. The second item is an advisory non-binding vote to approve compensation paid to our named executive officers as disclosed in the proxy statement. The third is approval of the adoption of Riverview Bancorp's 2026 Stock Purchase Plan. If you were a shareholder of record on July 1, 2026, you may vote through the online platform. If you have already voted, you do not need to vote again today.

Please note that any vote submitted through the online platform will replace your vote. We will proceed with the vote on the election of directors. If you would like to use the online platform, please do so now. We will pause briefly to allow time for you to vote. Okay. The second item of business is the advisory non-binding vote to approve compensation paid to the company's named executive officers as disclosed in the proxy statement. I will now entertain a motion to submit this proposal to a vote. A motion has been made by Larry Hoff, seconded by Patricia Eby. Thank you very much. We will now proceed to vote on this proposal. Again, we will pause to ensure everyone has an opportunity to vote. The third item of business is the approval of the adoption of Riverview Bancorp's 2026 Stock Purchase Plan as disclosed in the proxy statement.

I would like to add that two years ago, we were extremely fortunate that Nicole accepted our CEO position. It is because of her amazing and constant leadership that Riverview Bank is back on course.

We are grateful to have our shareholders, board of directors, employees, and guests joining us today. Your unwavering support, confidence, and commitment to Riverview Bank and Riverview Trust Company continue to inspire our progress, strengthen our momentum, and build a strong future together. This year, as we continued delivering on our strategic plan with discipline and intention, a year and a half ago, our leadership team came together with our board of directors and created a dynamic plan centered on ensuring that our employees, clients, communities, and shareholders are all seen, heard, and valued. That commitment is more to us than just a statement. It's a framework for how we prioritize investments, evaluate opportunities, strengthen relationships, and build long-term value. It supports our vision to be the preferred place to bank and work in the Pacific Northwest. Our strategic plan is centered on five connected priorities. Employer of choice, profitable growth, client experience, data empowerment, and digital experience.

Delivering on the employer of choice priority, we continued investing in employees' culture and leadership depth. We introduced the People First HR platform, proposed an employee stock purchase plan for shareholder approval, defined career tracks, and expanded development through the launch of Riverview University and other programs. Developing our people is an investment in our clients, our culture, and our long-term ability to grow responsibly. Governance also remains an important part of how we support the company's long-term direction. During the year, we added two new board directors with deep community, business, technology, and financial expertise.

That perspective strengthens oversight, supports strategic decision-making, and ensures that Riverview continues to evolve while staying grounded in the values and community commitment that have long defined our company. Focusing on the priority of profitable growth, we remain centered on disciplined delivery, balance sheet optimization, and long-term shareholder value. That commitment was reflected in the operating decisions made all across the company this past year and by our executive team who chose to forgo cash incentives and forfeit equity incentives to align leadership actions with shareholder interests and long-term performance. Delivering on our digital experience priority, we enhanced the digital banking experience through a redesigned modern interface, launched a digital account opening initiative, and improved budgeting tools with real-time access to departmental budgets and spend rates. These investments are empowering clients to bank how and when they prefer, while also giving our teams better tools to serve them effectively.

We also advanced our data empowerment priority. During the year, we hired Chief Information Officer Rob Mills, and under his direction, launched an AI work group to help Riverview thoughtfully engage in the use of artificial intelligence across the company. This work is focused on improving efficiency, supporting our teams, strengthening fraud and risk prevention, and enhancing the client experience. Better information leads to better decisions, and our goal is to give leaders and teams clearer insight into client relationships, operating trends, performance drivers, and growth opportunities. Our client experience at Riverview is essential as we deepen relationships across commercial and business banking, wealth management, and branch banking. We've improved treasury management digital capabilities, launched a new Riverview Trust Company website, expanded commercial and industrial lending, created a dedicated business banking team, and broadened products and relationship support across the entire company.
